ID Solutions 1993 Ltd – Standard Terms and Conditions of Sale
1. PRICE 1.1 All prices are exclusive of GST unless otherwise stated. GST and applicable duties or taxes will be added to the invoice. 1.2 Prices are subject to adjustment to reflect any changes in cost of materials, exchange rates, freight, or other cost factors arising between the order acceptance and delivery. 1.3 Additional charges may apply for certain payment methods, including but not limited to credit card transaction fees. 1.4 A binding contract is formed upon written acceptance of the Customer’s order by ID Solutions. Quotes do not constitute binding offers. 1.5 Any changes to our pricing shall be effective from the date of notice provided to the Customer.
2. DELIVERY 2.1 Delivery occurs when the Goods are made available for dispatch from ID Solutions' premises. Where requested, ID Solutions may arrange freight as the Customer’s agent, with associated costs payable by the Customer. 2.2 We may deliver in instalments; each is a separate contract. 2.3 Partial delivery or defective delivery of part of the Goods does not entitle cancellation of the full order. 2.4 Delivery times are estimates only. ID Solutions accepts no liability for delays beyond its control. 2.5 Customers must ensure accessible delivery locations. Risk passes on delivery. 2.6 Claims for short delivery or damage must be made within 7 days of receipt.
3. RISK AND OWNERSHIP 3.1 Risk in the Goods passes on delivery. ID Solutions is not liable for loss or damage after this point. 3.2 Ownership remains with ID Solutions until full payment is received. We reserve the right to recover Goods if unpaid. 3.3 If the Customer resells the Goods before payment, proceeds must be held in trust for ID Solutions to the extent of the unpaid amount.
4. SECURITY INTEREST 4.1 The Customer grants a security interest under the Personal Property Securities Act 1999 over all Goods supplied and their proceeds until paid in full. 4.2 The Customer waives the right to receive a verification statement under the Act.
5. CONSUMER GUARANTEES ACT 5.1 If the Customer acquires Goods for business purposes, the Consumer Guarantees Act 1993 does not apply.
6. DEFAULT 6.1 In the event of default, ID Solutions may suspend or cancel deliveries, charge default interest at 18% p.a., and recover all costs of collection, including legal fees.
7. FORCE MAJEURE 7.1 ID Solutions is not liable for failure to perform obligations due to events beyond our reasonable control.
8. PRIVACY 8.1 The Customer consents to ID Solutions collecting and using personal information for business-related purposes, including debt recovery and credit checks.
9. RETURN OF GOODS 9.1 Returns of stock items are accepted within 14 days if goods are unopened and in original condition. Restocking and courier fees apply. 9.2 Custom-printed or special-order items are non-refundable unless faulty or misprinted. Claims must be made within 14 days.
10. GENERAL 10.1 These terms apply to all orders unless varied in writing by ID Solutions 1993 Ltd. 10.2 Any waiver or variation must be in writing. Placing an order indicates acceptance of these terms.
11. CANCELLATION BY ID SOLUTIONS 11.1 ID Solutions 1993 Ltd reserves the right to cancel any order, even after acceptance, in the following situations:

If the Customer has misrepresented information or breached these Terms;

If there is a clear and obvious pricing or product error;

If supplying the Goods would result in a breach of law or third-party rights;

If unforeseen circumstances make it unreasonable or impractical to fulfil the order.
11.2 Where ID Solutions exercises its right to cancel under this clause, it will do so in good faith and in accordance with fair trading principles. Any payments already made will be refunded where appropriate.
