ID Solutions 1993 Ltd

1. Price

All prices exclude GST unless stated otherwise. GST and any applicable duties will be added to the invoice. Prices may be adjusted to reflect changes in costs such as materials, exchange rates, or freight between order acceptance and delivery. Additional charges may apply for certain payment methods, including credit card fees. A binding contract is formed only when ID Solutions accepts an order in writing. Quotes are not binding offers. Pricing changes apply from the date notice is given.

2. Delivery

Delivery occurs when goods are ready for dispatch. Freight may be arranged on behalf of the customer and charged accordingly. Orders may be delivered in instalments, each treated as a separate contract. Partial or defective delivery does not cancel the full order. Delivery times are estimates only, and delays outside our control are not our liability. Customers must ensure safe access for delivery. Risk transfers upon delivery. Any claims for damage or shortage must be made within 7 days.

3. Risk and Ownership

Risk passes to the customer on delivery. Ownership remains with ID Solutions until full payment is received. We reserve the right to recover goods that remain unpaid. If goods are resold before payment, proceeds must be held in trust to cover the outstanding amount.

4. Security Interest

The customer grants a security interest under the Personal Property Securities Act 1999 over all supplied goods and proceeds until payment is complete. The customer waives the right to receive a verification statement.

5. Consumer Guarantees Act

Where goods are acquired for business purposes, the Consumer Guarantees Act 1993 does not apply.

6. Default

In the event of default, ID Solutions may suspend supply, cancel orders, charge interest at 18% per annum, and recover all associated collection and legal costs.

7. Force Majeure

We are not liable for failure to perform obligations due to events beyond our reasonable control.

8. Privacy

Customers consent to the collection and use of personal information for business purposes, including credit checks and debt recovery.

9. Return of Goods

Stock items may be returned within 14 days if unopened and in original condition. Restocking and freight charges apply. Custom or special-order items are non-refundable unless faulty or misprinted. Claims must be made within 14 days.

10. General

These terms apply to all orders unless varied in writing. Any changes must be agreed in writing. Placing an order confirms acceptance of these terms.

11. Cancellation by ID Solutions

ID Solutions reserves the right to cancel any order where:

• The customer has provided incorrect information or breached these terms
• There is a clear pricing or product error
• Supplying the goods would breach legal or third-party obligations
• Unforeseen circumstances make fulfilment impractical

Any cancellation will be made in good faith. Payments made will be refunded where appropriate.
